Acceptance of Terms.

By working with Ezra Ads Ltd. (“Ezra,” “we,” “us”) you confirm that you are of legal age, have read these Terms, and agree to them.

Scope of Service

Ezra Ads Ltd provides subscription-based access to our proprietary online software platform (“Service”), which may include creative strategy tools, templates, automation features, data dashboards, AI-powered content suggestions, or other functionality as described on our website or in your selected plan tier. We reserve the right to modify, update, or discontinue features at our discretion. Your use of the Service is limited to the features, usage allowances, and users permitted under your chosen plan.

Client Responsibilities

  • You agree to provide all required information, materials, and approvals in a timely manner.

  • You confirm that all materials you provide are properly licensed or owned.

  • You remain responsible for the final use of deliverables in compliance with all applicable laws.

Payment Terms

  • Payment terms will be stated in your Service Agreement or invoice.

  • Invoices must be paid by the due date stated. Late payments may result in delayed or suspended services.

  • We reserve the right to adjust pricing for future work with at least 30 days’ written notice.

Cancellation & Termination

Either party may terminate Services at any given time.

  • Any work completed up to termination will be invoiced and payable in full.

  • No refunds will be issued for Services remaining or already provided.

Licensed & Client Assets

  • Ezra may provide certain assets or frameworks under license.

  • You guarantee that any content or assets you supply do not infringe third-party rights.

Intellectual Property

All custom work created for you under a signed Agreement becomes your property upon full payment.

  • Ezra retains a non-exclusive right to showcase non-confidential deliverables in our portfolio and marketing.

  • You may opt out by emailing us in writing.

Confidentiality

Each party agrees to keep all non-public business information confidential and not disclose it to any third party without consent, unless required by law.

Limitation of Liability

To the fullest extent permitted by law, Ezra Ads Ltd’s total liability for any claim relating to our Services is limited to the total fees paid by you in the three (3) months preceding the claim. We are not liable for any indirect, consequential, or incidental losses.

Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England and Wales.

Updates

Ezra Ads Ltd may update these Terms from time to time. The current version will always be available upon request.
